房屋买卖居间合同

卖方(以下简称甲方):___________________________ 买房(以下简称乙方):___________________________ 居间方(以下简称丙方):___________________________

甲方拥有位于____________________________________________的房产,面积为_______平方米,房屋所有权证书号_______________________,乙方自愿购买甲方上述房产并向甲方交纳定金人民币(大写)______________________元(小写)________元整。双方在平等自愿、等价有偿的基础上。就该房屋买卖订立本合同。

第一条双方同意上述房屋售价为人民币(大写)____仟____佰____拾____万_____仟_____佰______拾____元整(小写)_________元。

第二条代理费用及全证过户代办费:

甲方保证所提供该房屋资料的真实性并符合国家及北京市房屋上市有关规定及政策法规,委托上市房屋交易的合法权利。若违反国家及北京市相关政策法规而引发的一切法律或经济责任均由甲方承担,并支付丙方全部代理费用及权证过户代办费。

甲乙双方同意在签定本合同后50个工作日(以丙方通知为准),持本合同和相关证件共同到__________房地产交易管理部门办理产权过

户手续。办理产权过户手续中所发生的相关税费、土地出让金及手续费按国家规定收费标准由____方支付。

本合同在履行中如发生争议,三方应协商解决。协商不能解决的,三方同意按以下第____种方式解决纠纷。

1.提交北京仲裁委员会仲裁。

2.任何一方均可向房地产所在地人民法院提起诉讼。

本合同签定后如甲乙方擅自解除合同,主动解除方应支付丙方全部代理费及权证过户费。

本合同正本一式三份,甲、乙、丙三方各执一份。

本合同未尽事宜,双方可签定补充协议。本合同的附件和双方签定的补充协议为本合同不可分割的组成部分,具有同等法律效力。补充:

BROKERAGE AGREEMENT OF REAL ESTATE SALE

出售方:(以下简称“甲方”)Seller:(hereinafter “Party A”)

买受方:(以下简称“乙方”)Buyer:(hereinafter “Party B”)

居间方:(以下简称“丙方”)Broker:(hereinafter “Party C”)

三、买卖交易细则

贷款及抵押权处理:若甲方有抵押贷款未结清,甲乙双方明确贷款余额及抵押权消灭选择通过下列方式处理。

Loans and Mortgage.If any due mortgage loans fail to be paid by Party A, Party A and Party B expressly agree that the following provisions shall be applied:

□ 乙方支付甲方的上述第____ 笔房款优先用于甲方偿还银行的按揭贷款,余额不足由甲方自行补足。甲方应于双方订立买卖合同后5个工作日内向银行提出还款申请,并依银行规定的时间足额结清贷款。甲方应在银行出具抵押注销材料后5个工作日至房地产登记处办理该房产的抵押登记注销手续。

Subject to the permission of mortgagee and the lending bank of Party B, Party A and Party B shall fulfill the formalities for Mortgage Transferring in accordance with the bylaws of the corresponding bank.For the purpose of such Mortgage Transferring, the Parties hereto shall provide cooperation in accordance with the instructions issued by the related bank and Guarantee Institutes, and shall agree to make supervision on the transfer prices.Any and all costs and expenses arising out of or in connection with such Mortgage Transferring shall be borne by □ Party A

prior to ______________, Party A shall deliver this real estate to Party B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore.Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party A prior to such delivery, or shall be borne by Party B upon such delivery.Maintenance Fund.The maintenance fund has been included in the transfer prices without additional charges.Fees for the installation of equipments or facilities for the supply of water, electricity, gas or cable TV services and other applicable costs and expenses □ have been included in transfer prices without additional charges;or □ shall be paid to Party A by Party B as CNY _______ at the fulfillment of transfer formalities.固定装修、附属设施设备以及经甲乙双方确认的家电、家具等价格已经包含在该房地产转让总价款内,甲方须保证该房屋内附属设施、设备均能正常使用及室内装饰与签订买卖合同之日的状况相符,下水道通畅。

Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein and the sewage is free-flowing.6)

户口迁移:若在该房屋地址上有户口登记的,且无论该户口是否与甲方关联,甲方应于 □ 办理该房地产过户手续之日前;

Household Relocation.If any household registration is made by virtue of this real estate, whether or not related to Party A, Party A shall, □ Prior to the fulfillment of formalities for the transfer of this real estate;or □ Prior to _________, Revoke any and all such registration.7)

相关费用:Miscellaneous Charge.[交易税费]:关于该房地产交易涉及的相关费用甲乙双方明确均应按国家规定及税务机关确认的房屋价值申报各自的交易税、费,任何一方均不得以国家及税务机关调整交易税、费为由,拒绝履行本合同或买卖合同之义务。

Trade Tax.Party A and Party B expressly agree that any and all trade taxes arising out of or in connection with this transaction shall be declared and paid by each other respectively in accordance with the applicable state rules and values of this real estate evaluated by tax authority, neither Party may refuse to perform any of its obligations under this contract or sales contract by virtue of any adjustment of trade tax by state government or tax authority.双方同意,交易中所涉及的上述买卖双方的税费由

The Parties agree that any and all taxes and charges arising out of transaction hereunder shall be borne and paid by

买卖合同示范合同订立:

甲乙双方确认签署本协议已确立买卖法律关系。为办理该房屋过户之需,双方约定,于______年_____月_____日前按协议约定的【买卖交易细则】至上海市_______区_______路______弄_____号______室(上海XX房地产经纪有限公司所属签约场所)处签署《上海市房地产买卖合同》的示范合同,该示范合同的的订立只是以格式合同的形式对甲乙双方买卖关系的进一步的确认。

Sales Contract.Hereby Party A and Party B agree that sales relationship has been established between them upon the signature of this Contract.For the purpose of any transfer of this real estate, Party A and Party B further agree that Sales Contract for the Real Estate Located in Shanghai City(“Sales Contract”)shall be entered into by them at ____ Suite, ___ of _____ Alley, _____Avenue _____District, Shanghai(signing place designated by Shanghai SunWay Real Estate Brokers Co., Ltd.)prior to ______ under the [Sales Rules] agreed herein.9)特别约定:Specific Agreement 甲方同意在本协议交易条件不变的前提下,乙方可以增加、减少上海市房地产买卖合同中的“买受人”。

四、法律责任的选择适用.APPLICATION OF LEGAL LIABILITIES

1)

买卖交易细则中各条款未能如约全面履行的法律责任 Legal Liabilities for Non-Performance of Any Clause of [Sales Rules]

□将款项定性为定金的法律责任:本协议项下定金作为甲乙双方履行本协议的担保,若甲乙双方中若有任何一方未按照本协议中的约定及时全面履行自己的义务,守约方有权根据定金罚则要求违约方承担违约责任。同时,乙方可以丧失定金为代价而解除本协议,甲方可以以双倍返还定金为代价而解除本协议。

Deposit Clause.As deposit provided herein is the guarantee for the performance of obligations hereunder by Party A and Party B, if either Party A or Party B fails to perform its obligations hereunder fully or timely, the other Party may require indemnification form such breaching party in accordance with Deposit Rules.Party B may terminate this Contract at the cost of forfeiture of deposit provided by it, where Party A may terminate this Contract at the cost of payment as two times of deposit provided by Party B.□将款项定性为房款的法律责任:甲乙双方中若有任何一方未按照本协议中的约定及时全面履行自己的义务,则每逾期一日,违约方应按本协议约定总房款的万分之三向守约方支付违约金,直至违约方实际履行之日止;逾期超过15日的,守约方有权选择单方面解除本协议,若守约方选择单方面解除本协议,则违约方应按本协议约定的总房款的20%向守约方支付违约金。

*该条款是基于本协议条款二【转让总价及款项的选择适用】中对于定金和房款的选择而对应产生的约束力,甲乙双方确认在进行条款二的区分选择时,居间方已经给予明确的提示,并且已经按照甲乙双方的要求进行了翔实的解释和说明。甲乙双方确认并愿意接受本条法律责任的约束。

Transfer Price Clause.If either Party A or Party B(“Breaching Party”)fails to perform any of its obligations hereunder fully or timely, damages calculated as 0.03% of transfer price agreed per each day delayed shall be paid by such breaching party until the date on which such obligation has been fully performed.Provided, however, the other party may terminate this Contract if breaching party fails to fulfill its obligations for 15 days or more, in such event, such breaching party shall pay damages to the other party as 20% of transfer price agreed.* THIS CLAUSE SHALL HAVE BINDING FORCES CORRESPONDS WITH THE CHOICE MADE FOR DEPOSIT OR TRANSFER PRICE MENTIONED IN ARTICLE 2 HEREOF(T RANSFER PRICE AND DEPOSIT, OPTION OF PAYMENT).PARTY A AND PARTY B UNDERTAKE THAT WHEN CHOICE IS MADE BY IT, BROKER HAS PROVIDE EXPRESS INTRODUCTION AND MAKE DETAILED INTERPRETATION AND EXPLANATION AT THE REQUEST OF PARTY A OR PARTY B, AND THE PARTIES AGREE TO ACCEPT THEM.2)

甲方保证该房地产产权清晰、权属明确,无异议登记、单方预告登记,无司法、行政查封等限制性交易情形存在;若因本条所述情况导致本协议效力瑕疵,甲方应返还乙方所有已付房款并赔偿乙方实际损失。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades.If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.3)

甲、乙双方均保证有签署本协议及履行本协议的权利,若因任何一方原因导致本协议效力瑕疵或无法履行,该方签署人承诺自愿承担 □房款 □定金 项下所导致的法律责任。本条款独立发生法律效力。

Party A and Party B undertake that each of them shall enter into this Contract and perform its obligations hereunder, if this Contact is defected or fails to be performed due to the fault of any Party, such Party shall assume the legal liabilities of □ transfer price or □ deposit.Article 4.3 hereof shall survive the termination of this Contract.五、文字效力FORCE AND EFFECT 本协议空白处与铅印刷文字具有同等法律效力,若填写文字与铅印文字相冲突的,以填写文字为准。若填写或修改文字增加丙方义务的,则需经丙方加盖合同专用章方可生效。

Any blank left herein shall have equal legal effect with the printed text, provided, however, if there is any dispute between any information completed by hand and printed text, the former shall prevail.Any information completed by hand or by alteration of original text, if imposing any obligations to Party C, shall come into effects only upon common seal is made on such information by party C.六、争议解决.DISPUTE SETTLEMENT 各方在本协议履行过程中发生争议的,应友好协商;协商不成的,应向该房地产所在地人民法院起诉。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.七、合同关系

CONTRACTUAL RELATIONSHIP 本协议是双方在上海XX房地产经纪有限公司居间下就该房地产买卖事宜达成一致的真实意思表示;本协议的生效标志着双方就该房地产买卖关系的确立。本协议的生效同时代表丙方的居间成功。甲乙双方委托丙方根据本协议制作《上海市房地产买卖合同》示范文本、并进行网上备案。

第四条 税、费的承担

第六条 违约责任

6.1 甲方保证所售房屋不存在任何权属争议,债务纠纷或其他瑕疵。甲方保证有权出售该房屋,并已得到房屋共有人或其他权利人的同意,保证全面履行合同义务。否则,乙方有

权要求甲方支付本合同成交价格10%的违约金,并赔偿因此受到的其他损失。

6.2 乙方保证所提供的资料真实、有效。具备订立合同的资格,并保证全面履行合同义务。否则,甲方有权要求乙方支付本合同成交价格10%的违约金,并赔偿因此受到的其他损

6.3 因甲乙任何一方原因导致本合同不生效、无效、被解除、被撤销或任何一方发生违

第八条 争议的解决

甲乙双方在本合同履行过程中发生任何纠纷,应首先协商解决;协商不成的,任何一方

第十二条 特别声明

根据《中华人民共和国合同法》及房地产法规的相关规定,在平等、自愿、协商一致的基础上,就房屋买卖(转让)达成如下协议:

b)房屋所有权转移登记手续办理之前,乙方必须支付购房总房款(含定金)¥元,大写佰拾

3、若甲方所出售房屋须办理提前还贷以注销抵押登记手续,则还贷所需资金由下述第登记手续办理前完成注销抵押登记手续。甲、乙双方确认的解决方式为:①甲方自筹;②乙方同意使用其首付款;③乙方同意使用其首付款,不足部分甲方自筹。

4、甲乙双方约定:为确保交易顺利进行,购房定金、房屋产权证书及相关资料均共同委托并授权丙方代为保管。第四条房屋所有权转移登记办理及费用

1、房屋所有权转移登记手续由方负责办理,方承担。若因甲方原购房时未缴纳相关税金和费用,需补缴有关的税金和费用,则由方负责补缴。

2、抵押登记和银行按揭手续由方负责办理,费用由方承担。

3、乙方按揭贷款的,在房屋所有权转移登记手续办理完毕后,乙方应在乙方房屋所有权证颁发之日起部门办理抵押登记和银行按揭贷款手续。若乙方逾期办理,甲方有权从乙方房屋所有证颁发之日起每逾期一日向乙方收取房款0.1%作为违约金,甲方并有权追究乙方的其他责任。

第五条交房约定

1、甲方在否则从约定交房之日起每逾期一日按总房款的0.1%向乙方支付违约金,合同继续履行,且乙方有权自行进入房屋并对房屋内的物品进行处理,甲方无任何异议并无权追究乙方责任。

2、甲方应在交房前结清该房屋的(①水、②电、③闭路电视、④天然气、⑤卫生、⑥物管)等费用,并交由乙方确认,如未结清费用乙方有权自行在交房押金中扣除,甲方无异议。

3、甲方在收取购房首期款时须支付¥:仟佰为水、电、气、闭过户及交房押金,此款由方保管,办理完相关手续及后由方支付给甲方。

4、甲方应按照本合同约定的装修、设备、家具、设施标准交房给乙方,不得在交房前拆除或搬走相关装修、设施、设备、家具,否则,甲方需按同品牌、同档次的市场新品价格补偿给乙方。

5、甲方在交付房屋天内将户籍迁出该房屋。

第七条违约责任

1、甲、乙双方任何一方违反本合同约定均视为违约,乙方违约定金不予退还,甲方违约须双倍返还定金,甲、乙其中一方违约行为发生7天后,双方未能达成一致的,守约方有权解除合同并依法追究违约方责任。

2、甲、乙双方同意在合同履行完毕或因违约造成合同无法履行时,视为丙方的行为已经完成,若丙方未收到双方佣金及代办费的,丙方有权从定金中优先全额收取。

3、若因乙方原因按揭贷款不能办理,则转为一次性付款,否则视为乙方违约;若因甲方原因按揭贷款不能办理,则视为甲方违约;若因国家或银行政策原因导致按揭不能办理或转移登记不能进行,则本合同解除,甲、乙双方互不追究责任,任何一方无权要求丙方退还佣金。

4、若甲方为房屋产权人代理人的,本合同所规定之义务由其本人和房屋产权人共同承担连带责任。

第八条甲、乙、丙三方权利义务以本合同书面约定为准,甲、乙双方其他未尽事宜,由甲乙双方自行签订补充协议,与丙方无关。

第九条 甲、乙双方在向丙方支付所有款项时,务必要求丙方提供盖有丙方财务专用章的票据,以确认丙方收到该笔款项,否则丙方概不予认可。

第十条 本合同执行过程中如发生纠纷,甲乙双方应友好协商解决,协商不成由房屋所在地人民法院裁决。

三、甲方在办理过户手续之前,必须将租赁户腾退。

四、甲方保证该房屋不存在抵押等其他权属瑕疵,否则应承担相应的违约责任。

五、甲方需积极配合乙方及丙方办理全程过户手续,如因故不能前往需在两日内通知丙方,否则因甲方原因延误过户期限视甲方违约,并向乙方承担违约责任,赔偿损失。

[第八条] 乙方责任:

一、乙方保证在交易过程中应支付给甲方的款项按以上规定期限支付,若到期未支付,视乙方违约,并向甲方承担违约责任。

[第九条] 丙方责任:

二、代办相关过户及房屋交验手续等;

三、对该房屋交易全过程有见证及协调的义务;

四、在签订《买卖合同》前丙方有义务向甲乙双方告知国家相关部门所执行政策、制度及税费标准,如在房屋交易过程中以上标准有变化,合同各方均有义务按照最新标准来执行合同,不得以此为理由拒绝或延误执行《买卖合同》。

[第十条] 违约责任:

一、自乙方向甲方交付定金之日起,甲方不得将上述房屋出售予第三方,否则甲方应向乙方双倍返还定金。

三、如果由于所售房产的权属纠纷而导致该房屋交易无法进行,则甲方应向乙方双倍返还定金。

四、本合同签定之日起,在甲方未发生违约的前提下,乙方因任何原因提出终止本合同,均视为乙方违约,则甲方收取的定金不予退还,丙方已收取的居间服务佣金不予退还。

五、若因甲、乙任意一方违约而导致《买卖合同》无法履行,违约方仍应向丙方支付本合同第四条所规定的佣金及交易过程中实际发生的费用,同时,守约方应支付的各项费用也由违约方支付,上述费用违约方应在接到丙方书面通知后三个工作日内付清。

[第十一条] 免责条件:

因自然灾害、政府重大政策调整等不可抗力而导致本合同无法履行,本合同三方均不承担违约责任。但甲方应退还乙方已支付的定金及房款。

[第十二条] 争议的解决方式:

本合同履行过程中如产生争议,三方应协商解决;协商不成的,三方均可向该房屋所在地的人民法院提起诉讼。

[第十三条] 生效及其他:

一、甲、乙双方就《买卖合同》条款的未尽事宜,可协商签订《补充协议》,《补充协议》为《买卖合同》的附件,具有同等法律效力。甲、乙双方自行协商的条款,丙方仅负责见证(三

方另有约定的除外)。

二、房地产交易部门、房地产开发部门、银行、政府相关部门对外承诺的工作日和丙方无关,丙方只是负责按照以上部门的有关规定协助甲、乙双方办理相关手续。
