这个问题，看上去有点多余，但实际却很重要。因为这种所谓的信托团购，实际上将信托计划试图隔离的风险重新聚集，并且间接违反信托产品必须由“合格投资者”购买的规定。

所谓“合格投资者”，《信托公司集合资金信托计划管理办法》是这样规定的：投资一个信托计划的最低金额不少于100万元，如果是自然人，则需要提供相关财产证明，例如个人或家庭金融资产超过100万元，或是个人收入在最近三年内每年超过20万元，或夫妻双方合计收入在最近三年内每年收入超过30万元。此外，该办法还规定，信托受益权进行拆分转让的，受让人不得为自然人。

首先，因为直接和信托公司签订合同的并不是投资者，而是财商通。业内人士认为，这对投资者来说风险重重。如果签订信托合同的不是投资者，那么在法律层面，投资者不是委托人，也不是信托受益人，是不能向信托公司主张权利的。

某信托公司杭州分公司的负责人表示，认定多个投资人之间的代持合同是否成立，要从两个层面看这个问题。

“首先签约人与团友之间如果有协议，那合同关系是成立的;其次，信托公司与代替你们认购信托者签订的信托合同的法律关系是成立的。信托公司如果出面协调，或者明知是团购而不顾，则属于违规，信托公司将受到处罚，团购资金或将被清退;如果信托公司不知情，那没有责任，信托是成立的。只要手续齐备，团购出现的纠纷是你们自己的事情，与信托公司无关。”这位负责人表示。

换句话说，虽然财商通在代理合同上表示其所享有的信托受益权由投资者所有，但是经过这么一个中间环节后，实际上投资者的风险加大了。因为根据法律规定，信托财产具有独立性，与信托公司的固有财产相区别，不得归入固有财产。

风险的隔离是按层次划分的，最高层次是外部隔离，如信托计划同信托公司隔离，有限合伙企业同GP相隔离，只有外部隔离才能做到与募集者的经营风险隔离。举个极端的例子，如果这家理财机构破产了，按法规，信托受益权可用来清偿债务，那么投资者就有可能颗粒无收。

暑期档前夕暗涌波澜，《一号目标》惊心博弈 转眼五月已过大半，六月即将登场，也就意味着暑假档拉开了帷幕。从张艺谋的《归来》开始，这个电影档期似乎更加的热闹非凡。就目前官方发布的新片上映计划来看，有改编自同名小说的时尚青春爱情幽默电影《我的播音系女友》，爱情动作喜剧电影《缘来是游戏》；还有好莱坞大片《X战警：逆转未来》与《哥斯拉》；更有动作悬疑电影《一号目标》。暑假档预热阶段，必将在票房上掀起狂澜。

首先关注下5月16日上映的电影《归来》。电影的名字刚好道出了张艺谋电影回归之路和分手老搭档之后的一种态度与希望。虽说影片改编自严歌苓小说《陆犯焉识》，但却融合了花甲之年后“简”之艺术，上演一次“生离死别，旷世之恋”的纯情故事。张艺谋用减法将小说繁杂的故事，一一删减，从而使得人物的表演有了更大的空间。陈道明与巩俐的演技可谓独一无二，精彩绝伦。

定于5月20日上映的电影《我的播音系女友》，同样改编同名畅销小说。影片由程中豪、王凯共同执导，戚薇、汪东城、钟凯、邱晔领衔主演，并有电影《青春派》黄金配角搞笑加盟。影片讲述了大学时光中一场浪漫爱情的故事，以毕业季为噱头，让观众回味大学时的纯美爱情，感受“且将旧时意，怜取眼前人，唯有不相忘，维以不永伤”的青春岁月。

5月23日上映的《一号目标》是继《风声》《听风者》后，又一悬疑谍战电影，并号称电影版的《暗战》。影片由翟俊杰、翟小兴联
